Kepala Eksekutif Pengawas Pasar Modal otoritas jasa keuangan( OJK) Hoesen,
mendorong perusahaan badan usaha milik negara(BUMN) maupun anak perusahaan BUMN untuk memanfaatkan Pasar Modal sebagai sumber alternatif pendanaan perusahaan dalam mengembangkan bisnis dan usahanya.
Demikian disampaikan Hoesen dalam acara sosialisasi mengenai Penawaran Umum di Pasar Modal kepada badan usaha milik negara( BUMN) dan anak perusahaan BUMN yang digelar secara daring di Jakarta, Selasa 22/3/22
“Masuknya perusahaan BUMN maupun anak perusahaan BUMN untuk melakukan Penawaran Umum di Pasar Modal akan dapat memperkuat finansial perusahaan, meningkatkan nilai perusahaan, serta meningkatkan daya saing perusahaan, yang pada akhirnya secara agregat, perusahaan-perusahaan BUMN tersebut dapat memperkuat stabilitas dan pertumbuhan ekonomi nasional,” kata Hoesen.
Selain itu, kehadiran perusahaan BUMN di Pasar Modal juga bisa menjadi role model dalam penerapan tata kelola perusahaan yang baik dan kepatuhan terhadap ketentuan di Pasar Modal yang berlaku.
Saat ini, BUMN di Indonesia berjumlah 82 Perusahaan, namun yang sudah melakukan penawaran Umum di Pasar Modal baru mencapai 23 perusahaan, yang terdiri dari 3 Perusahaan melakukan Penawaran Umum berupa Saham, 9 Perusahaan melakukan Penawaran Umum Efek bersifat utang dan atau Sukuk; dan 11 Perusahaan melakukan Penawaran Umum Saham dan Efek bersifat utang dan atau Sukuk.
Hadir dalam acara sosialisasi yang dihadiri banyak pimpinan BUMN itu, Deputi Bidang Keuangan dan Manajemen Risiko Kementerian BUMN Nawal Nely.
Mengenai ketentuan tata kelola perusahaan, OJK telah menerbitkan sejumlah ketentuan antara lain seperti penyelenggaraan RUPS, pembentukan dan pedoman pelaksanaan kerja Komite Audit, pembentukan Fungsi Komite Nominasi dan Remunerasi, penunjukan sekretaris perusahaan, pedoman Penerapan Tata Kelola Perusahaan yang diungkapkan dalam Laporan Tahunan, dan lain sebagainya.
Kebijakan pengaturan terkait tata kelola perusahaan tersebut dimaksudkan untuk memberikan perlindungan terhadap kepentingan investor sebagaimana diamanatkan dalam Pasal 4 Undang-Undang Pasar Modal demi terciptanya iklim investasi di Indonesia yang aman dan kondusif.
Sementara untuk meningkatkan aspek perizinan, mitigasi risiko, dan pengawasan terhadap industri Pasar Modal, OJK telah mengeluarkan kebijakan yang bertujuan untuk memberikan kemudahan kepada para pelaku industri Pasar Modal terutama kepada para Emiten dan Perusahaan Publik dalam menyampaikan pernyataan pendaftaran, pemenuhan kewajiban, serta penyampaian laporan dan keterbukaan informasi dengan memanfaatkan teknologi informasi.
Beberapa kebijakan yang dikeluarkan OJK tersebut diantaranya:
1. Penerbitan POJK Nomor 58 tahun 2017 tentang Penyampaian Pernyataan Pendaftaran Atau Pengajuan Aksi Korporasi Secara Elektronik (SPRINT).
2. Penerbitan POJK Nomor 41 tahun 2020 tentang Pelaksanaan Kegiatan Penawaran Umum Efek Bersifat Ekuitas, Efek Bersifat Utang dan/atau Sukuk secara Elektronik (e-IPO).
3. Penerbitan POJK 7 tahun 2018 tentang Penyampaian Laporan Melalui Sistem Pelaporan Elektronik Emiten Atau Perusahaan Publik (SPE-IDXnet).
4. Penerbitan POJK 15 tahun 2020 tentang Rencana dan Penyelenggaraan Rapat Umum Pemegang Saham Perusahaan Terbuka dan POJK 16 tahun 2020 tentang Pelaksanaan Rapat Umum Pemegang Saham Perusahaan Terbuka Secara Elektronik (e-RUPS dan e-voting).
Berbagai kebijakan yang telah dikeluarkan OJK tersebut, diharapkan dapat meningkatkan efektivitas dan efisiensi pemenuhan kewajiban di Pasar Modal, dan pada akhirnya juga dapat meningkatkan performa Emiten secara lebih optimal, khususnya di masa pandemi ini.***
